1. Agreement

These Terms of Service ("Terms") are an agreement between MENTOREIS LLC ("SellerGenix", "we", "us") and the person or business that creates an account or uses the SellerGenix platform ("you", "Customer"). By creating an account or using the Service, you accept these Terms.

If you use the Service on behalf of a business, you confirm that you are authorized to bind that business. You must be at least 18 years old and use the Service for business purposes.

Our Privacy Policy and our Sales Agreement, which covers prices, payments, credits and refunds, form part of these Terms.

2. The Service

GenixBoard: profit analytics for your Amazon business, including P&L, Amazon fees, refunds, inventory and restock planning, product costs and general expenses.
GenixEngage: automated Amazon review requests for eligible orders, included with GenixBoard.
GenixAds: Amazon Ads reporting and management, included with GenixBoard.
GenixCreative: AI tools that create Amazon listing text and images, paid with prepaid credits.
Image Links: temporary public links for images you upload.

The Service currently supports Amazon marketplaces in the United States, Canada and Mexico. We may add, change or remove features. Features marked "Coming soon" or similar are not part of what you buy until they are released.

3. Amazon Connections and Your Instructions

To use the Service you connect your Amazon Seller Central account and, optionally, your Amazon Ads account. You confirm that you are authorized to grant us this access. You can disconnect at any time.

Nothing changes in your Amazon account without your instruction

GenixAds sends a change to your Amazon Ads account (bids, budgets, campaign or target status, negative keywords, new campaigns) only when you or an authorized admin of your workspace explicitly confirms it. GenixAds does not change bids or budgets automatically.
Suggested bids and other recommendations are information only until you choose to apply them.
GenixEngage asks Amazon to send review requests only after you turn it on, following the settings you choose. Requests are sent by Amazon through its official Request a Review feature, and you can turn GenixEngage off at any time.

You remain responsible for your Amazon accounts, your advertising spend and your compliance with Amazon's policies. Amazon may change or limit its APIs at any time, which can affect what the Service can do. SellerGenix is not affiliated with or endorsed by Amazon.

4. Your Account and Team

Provide accurate information and keep it up to date.
Keep access to your email account secure. We sign you in with one-time codes sent to your email address, so anyone with access to that mailbox can access your account.
The workspace owner is responsible for the people they invite and the roles they assign. Owners and admins can make changes; viewers have read-only access.
Tell us promptly at [email protected] if you suspect unauthorized access.

5. Acceptable Use

You agree not to:

Break any law or Amazon's policies through the Service.
Upload content you do not have the right to use, or content that is unlawful, misleading or infringes the rights of others.
Try to access other workspaces, probe or disrupt our systems, or bypass usage limits or security measures.
Copy, resell or scrape the Service, or use it to build a competing product.
Abuse free trials, starter credits or the referral program, for example by creating multiple accounts.

6. Data Accuracy

Reports are built from data Amazon provides. That data can arrive late, change after the fact or be incomplete, and some figures, such as fees for orders Amazon has not yet settled, are estimates until Amazon posts the final amounts. Profit figures also depend on the costs you enter.

The Service is provided for information and business decision support. It is not accounting, tax, legal or financial advice. Check important figures against Seller Central and your own records.

7. AI-Generated Content

GenixCreative uses third-party AI models to generate listing text and images. AI output can contain errors, inaccurate claims or visual mistakes.
You must review all generated content before publishing it on Amazon or anywhere else. You are responsible for what you publish, including its accuracy, product claims, intellectual property and compliance with Amazon's policies.
You confirm that you have the rights to the photos, logos, text and other material you upload.
As between you and us, you own the content generated for you, subject to the terms of the underlying AI providers. Similar output may be generated for other users.
We do not guarantee that generated content will be accepted by Amazon or will improve sales, ranking or conversion.

8. Fees

GenixBoard is a paid subscription after the free trial, and GenixCreative is paid with prepaid credits. Prices, payment terms, taxes, cancellation and refunds are set out in the Sales Agreement and on our pricing page.

9. Intellectual Property and Your Data

SellerGenix, the platform, its software and its design belong to MENTOREIS LLC. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
Your data, including your Amazon data and the content you upload, remains yours. You grant us permission to host, process and display it only to provide and support the Service for you, as described in the Privacy Policy.
If you send us feedback or suggestions, we may use them without obligation to you.

10. Third-Party Services

The Service relies on third-party services, including Amazon, payment processing and AI providers. Their availability and behavior are outside our control, and your use of Amazon is governed by your agreements with Amazon.

11. Availability and Support

We work to keep the Service available and your data up to date, but we do not guarantee any specific uptime, sync frequency or processing time. Maintenance, Amazon API limits and outages can cause delays.
Support is available through the Support page in the app and at [email protected]. We aim to respond as quickly as we can, but we do not guarantee response or resolution times.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee any business result, including sales, profit, advertising performance or ranking.

13. Limitation of Liability

Maximum liability: our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.
Excluded damages: we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities.
Exceptions: these limits do not apply where the law does not allow them.

14. Indemnification

You agree to defend and indemnify MENTOREIS LLC against third-party claims arising from content you publish or upload, your use of the Service in breach of these Terms, or your violation of law or Amazon's policies.

15. Term and Termination

By you: you can cancel your subscription at any time in Settings. Access continues until the end of the period you have paid for. You can also ask us to close your account through the Support page.
By us: we may suspend or close an account for material breach of these Terms, non-payment, abuse or fraud, or when the law requires. Where reasonable, we will give notice first.
After closure: you have 30 days to export your data. After that period, your data, including uploaded files such as expense receipts, is permanently deleted as described in the Privacy Policy. You are responsible for keeping your own tax and accounting records (the IRS generally recommends up to 7 years).
Survival: payment obligations and sections 9 and 12 to 16 survive termination.

16. Governing Law and Disputes

Governing law: the laws of the State of Illinois and applicable U.S. federal law, without regard to conflict-of-law rules.
Step 1: contact us first; both parties will try to resolve the dispute in good faith for 30 days.
Step 2: if unresolved, the dispute will be submitted to mediation.
Step 3: if mediation fails, the dispute will be resolved by binding arbitration in Springfield (Sangamon County), Illinois.
Urgent relief: either party may ask a court in Sangamon County, Illinois for injunctive relief or to enforce an arbitration award.

17. Changes to These Terms

We may update these Terms. We will post the new version on this page and, for material changes, notify account owners by email or in the app before they take effect. If you continue to use the Service after that, the updated Terms apply.

18. General

These Terms, together with the Privacy Policy and the Sales Agreement, are the entire agreement between you and us about the Service. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not transfer these Terms without our consent. Neither party is liable for delays caused by events beyond its reasonable control. Translations are provided for convenience; if they differ, the English version prevails.
